Terms of Service

1. Acceptance of Terms
By accessing or using ACE3 ("the Service"), operated by ACE3 Ltd ("we", "us", or "our"), you agree to be bound by these Terms of Service. If you do not agree to these terms, do not use the Service.
2. Description of Service
ACE3 is cognitive infrastructure for AI systems that provides persistent memory, autonomous agents, and behavioral evolution. The Service includes:
- Memory storage and retrieval APIs
- Knowledge graph functionality
- MCP (Model Context Protocol) server integration
- Dashboard and management tools
- CLI tools and SDK
3. Account Registration
To use certain features of the Service, you must register for an account. You agree to:
- Provide accurate and complete registration information
- Maintain the security of your account credentials
- Accept responsibility for all activities under your account
- Notify us immediately of any unauthorized access
4. Subscription Plans and Payment
ACE3 offers various subscription tiers:
- Free: Core platform, forever free, no credit card required
- Starter: Enhanced features, billed monthly or annually
- Pro: Full intelligence platform, billed monthly or annually
- Founder: Lifetime Founder access, one-time payment
- Enterprise: Custom pricing, contact sales
Payments are processed securely through Stripe. Subscriptions auto-renew unless cancelled. Refunds are handled on a case-by-case basis within 14 days of purchase.
Pricing, subscription plans, and tier limits (including API call limits, memory limits, and feature access) are subject to change. Existing subscribers will receive reasonable notice of any changes that materially affect their plan.
5. Acceptable Use
You agree not to use the Service to:
- Violate any applicable laws or regulations
- Infringe on intellectual property rights
- Transmit malware or harmful code
- Attempt to gain unauthorized access to systems
- Interfere with or disrupt the Service
- Store illegal, harmful, or offensive content
- Resell or redistribute the Service without authorization
- Reverse-engineer, decompile, disassemble, or otherwise attempt to derive the source code, algorithms, data models, or underlying architecture of the Service or any of its components
- Scrape, crawl, data-mine, or systematically extract data from the Service, its APIs, dashboard, or documentation for purposes of competitive analysis or replication
- Use automated tools, bots, or scripts to access the Service in a manner that exceeds reasonable human usage patterns
- Access the Service using disposable, temporary, or anonymised email addresses with the intent to circumvent usage limits or conceal identity for prohibited activities
- Create multiple free-tier accounts or connect the same database to more than one free-tier account in order to circumvent resource limits — one database per free account is enforced
- Benchmark, analyse, or probe the Service or its API responses for the purpose of building a competing product or service
6. Data and Privacy
Your use of the Service is also governed by our Privacy Policy. Key points:
- You retain ownership of your data stored in ACE3
- We process data as described in our Privacy Policy
- You can export or delete your data at any time
- We implement industry-standard security measures
7. Intellectual Property
The Service, including its original content, features, functionality, algorithms, AI genome system (QCMM), agent architectures, knowledge graph implementations, and all associated software, is owned by ACE3 Technology Systems Ltd and protected by international copyright, trademark, trade secret, and other intellectual property laws. The ACE3 software is proprietary and licensed, not sold. All proprietary algorithms, behavioural models, and system architectures constitute trade secrets of ACE3 Technology Systems Ltd. Unauthorised reproduction, reverse engineering, or creation of derivative works is strictly prohibited and may result in immediate account termination and legal action.
8. Monitoring and Suspicious Activity
We reserve the right to monitor usage patterns to protect the integrity and security of the Service and its intellectual property. We may, at our sole discretion:
- Suspend or terminate accounts that exhibit suspicious activity, including but not limited to: systematic API probing, automated data extraction, or usage patterns inconsistent with normal product use
- Restrict or revoke access for accounts registered with disposable, temporary, or forwarding email services where suspicious activity is detected
- Rate-limit or block API access that appears designed to map, benchmark, or reverse-engineer the Service
- Require additional identity verification for accounts flagged for suspicious activity
- Report suspected intellectual property theft or misuse to the appropriate legal authorities
Legitimate use of the Service in accordance with these Terms will not be affected by these measures. These provisions exist solely to protect ACE3's proprietary technology and the interests of our users.
9. Limitation of Liability
To the maximum extent permitted by law, ACE3 Technology Systems Ltd shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or other intangible losses resulting from your use of the Service.
10. Service Availability
We strive to provide continuous service availability but do not guarantee uninterrupted access. We may modify, suspend, or discontinue the Service with reasonable notice. Scheduled maintenance will be communicated in advance when possible.
11. Termination
We may terminate or suspend your account immediately, without prior notice or liability, for any conduct that we, in our sole discretion, believe violates these Terms, is harmful to the Service, its users, or ACE3 Technology Systems Ltd, or constitutes an attempt to access, replicate, or derive our proprietary technology. You may terminate your account at any time through the dashboard. Upon termination, your right to use the Service ceases immediately, and we may delete your data after a reasonable retention period.
12. Changes to Terms
We reserve the right to modify these Terms at any time. Material changes will be communicated via email or through the Service. Continued use after changes constitutes acceptance of the new Terms.
13. Governing Law
These Terms are governed by the laws of England and Wales. Any disputes shall be resolved in the courts of England and Wales.
